Terms of Service
These Terms of Service govern your access to and use of Velocity, including its cloud development environments, compute resources, subscriptions, prepaid wallet, metered services, APIs and related services.
1. Agreement to These Terms
These Terms of Service ("Terms") constitute a legally binding agreement between you ("you", "your", or "User") and Saksham Goel("Velocity", "we", "us", or "our"), a business organized under the laws of India.
By creating an account, accessing the Velocity website, purchasing a subscription, adding funds to your wallet, provisioning a sandbox, using our APIs, or otherwise using the Services, you agree to these Terms and our Privacy Policy.
If you do not agree to these Terms, you must not create an account or use the Services.
If you are using Velocity on behalf of a company, organization, educational institution or other legal entity, you represent that you have authority to bind that entity to these Terms. In that case, "you" includes that entity.
2. Description of the Services
Velocity provides cloud-based development infrastructure and related software services. Depending on your plan and available features, the Services may include:
- Persistent cloud development environments and devboxes.
- Browser-accessible development environments such as VS Code, JupyterLab or similar tools.
- CPU, memory, storage and GPU compute resources.
- Sandbox lifecycle management, including starting, stopping, archiving and deletion where supported.
- Usage metering and compute billing.
- Prepaid wallet and compute credits.
- Subscription plans and plan-based features.
- Activity logs and workspace monitoring features.
- Developer APIs and webhooks.
- Integration with third-party services and infrastructure providers.
Availability of individual features, resource configurations, regions, hardware types and service limits may vary by plan, account, region, infrastructure availability and other technical limitations.
Velocity does not guarantee that any particular CPU, GPU, hardware model, region, capacity or resource configuration will remain continuously available.
3. Eligibility and Accounts
You must provide accurate and current information when creating your account and must keep that information reasonably up-to-date.
You are responsible for maintaining the confidentiality of your account credentials and for all activity performed through your account, except to the extent caused by a security failure attributable to Velocity.
You must promptly notify us if you believe your account, credentials, API keys or other authentication mechanisms have been compromised.
You may not create accounts for the purpose of circumventing suspensions, usage limits, billing restrictions or other enforcement measures.
Where required by applicable law, we may request additional information to verify your identity, business, payment information or eligibility to use particular Services.
4. Your Code, Content and Data
You retain ownership of the source code, files, data, documents, configurations and other content that you upload to or create through your Velocity workspaces ("User Content"), except for rights expressly granted to Velocity under these Terms.
You grant Velocity a limited, non-exclusive, worldwide, royalty-free license to host, copy, transmit, process and otherwise handle User Content only as reasonably necessary to provide, secure, maintain and improve the Services.
You represent that you have all rights necessary to upload, process and use your User Content through Velocity.
You are solely responsible for User Content and for ensuring that it does not violate applicable law, third-party rights or these Terms.
You must not use Velocity as a substitute for a backup system. Unless expressly stated otherwise for a particular feature, you are responsible for maintaining independent backups of important User Content.
5. Sandbox Isolation and Infrastructure
Velocity uses isolated execution environments to run customer workloads. These environments may be provisioned and operated using third-party infrastructure providers.
You acknowledge that sandbox isolation is a security boundary, but no cloud infrastructure can be guaranteed to be completely free from vulnerabilities, outages or security incidents.
You must not attempt to bypass sandbox isolation, access another user's environment, access underlying host systems, obtain infrastructure credentials, or interfere with infrastructure operated by Velocity or its providers.
6. Subscriptions
Certain features require a paid subscription. Subscription pricing, included features, resource limits and billing periods are displayed at the time of purchase.
Unless otherwise stated, subscriptions renew automatically for the applicable billing period until cancelled.
Cancelling a subscription generally prevents future renewal but does not automatically reverse charges already incurred for a completed billing period.
If a subscription expires or is cancelled, access to subscription-only features may be restricted or disabled. Workspace data and other resources may be subject to separate retention and lifecycle policies.
We may change subscription pricing or features by providing reasonable advance notice where required by applicable law.
7. Wallet, Prepaid Funds and Credits
Velocity may allow you to purchase prepaid wallet balance or credits that can be applied toward eligible Services.
Wallet balance is a prepaid amount for purchasing Velocity Services. It is not a bank account, deposit account, payment account, investment product or general-purpose payment instrument, and it may only be used in accordance with these Terms and the applicable product rules.
Promotional credits, grants, coupons or other non-purchased credits may have additional expiration dates, restrictions or eligibility conditions.
Unless required by applicable law or expressly stated by us, promotional credits have no cash value and cannot be withdrawn or transferred.
Purchased wallet funds may be subject to our Refund Policy, applicable payment-provider rules and applicable law. We do not represent that all wallet purchases are refundable in every circumstance.
You must not attempt to sell, transfer, resell or otherwise monetize your Velocity wallet balance or credits.
8. Compute and Metered Billing
Certain Velocity Services are billed based on actual resource usage. Depending on the resource, charges may be calculated using CPU, memory, storage, GPU, runtime, quantity, configuration or other metered dimensions.
The applicable rates are those displayed by Velocity before or at the time the relevant resource is provisioned, subject to applicable taxes and disclosed pricing changes.
Where usage is billed by time, usage may be calculated with fine-grained time measurement, including per-second billing where supported.
Your final charge may include applicable taxes, payment processing charges where disclosed, and other applicable fees.
Resource states
- Running: applicable compute resources may incur usage charges.
- Stopped: compute resources generally stop accruing runtime charges, but persistent storage or other retained resources may continue to incur charges where applicable.
- Archived: archived resources may be subject to separate storage, restoration or retention rules depending on the infrastructure configuration.
- Deleted: deleted resources are no longer available through the Service and may not be recoverable.
The exact billing behavior of a resource is displayed in the Velocity product and may depend on the underlying infrastructure provider.
9. Wallet Depletion and Compute Protection
If your available wallet balance is insufficient to continue paid usage, Velocity may stop or prevent additional billable resources from running.
We may automatically stop running resources when your available balance reaches a configured threshold to reduce the risk of negative balances.
You remain responsible for charges incurred before a resource is stopped, including charges that are finalized after an infrastructure provider reports the final usage.
We do not guarantee that an automatic stop will occur at the exact instant your wallet reaches zero because usage data may be delayed or require reconciliation.
10. Budgets and Spending Limits
Velocity may provide monthly budgets, spending alerts and automatic spending controls.
A budget is a spending-control feature and does not necessarily constitute a guaranteed hard financial limit unless Velocity explicitly identifies it as a hard limit.
You are responsible for selecting appropriate budget values, alerts and resource limits. We recommend configuring automatic stopping or blocking of new billable resources when a strict spending ceiling is required.
Usage data may be delayed because of infrastructure-provider reporting and reconciliation. Therefore, budget alerts and enforcement may not occur at exactly the same moment as the underlying resource consumption.
11. GPU Resources
GPU availability is subject to hardware capacity, geographic region, infrastructure-provider availability, account limits and applicable plan restrictions.
A GPU quantity represents the number of GPU devices allocated to a sandbox. GPU performance depends on the hardware model and workload and does not guarantee linear performance based solely on GPU quantity.
GPU resources may be significantly more expensive than ordinary CPU resources. The applicable GPU price and configuration will be shown before or during provisioning where supported.
Velocity may impose maximum runtime, spending, concurrency, hardware and resource limits on GPU workloads.
12. Acceptable Use Policy
You may not use Velocity to:
- Conduct unlawful activity or facilitate unlawful activity.
- Mine cryptocurrency or operate blockchain-mining workloads without our express written authorization.
- Conduct denial-of-service attacks, network flooding or intentional service disruption.
- Perform unauthorized vulnerability scanning, exploitation, credential attacks or intrusion attempts.
- Attempt to escape or bypass sandbox isolation.
- Access, modify or destroy another user's data or environment.
- Deploy malware, ransomware, credential stealers, botnets, phishing infrastructure or similar malicious software.
- Send spam or operate abusive bulk messaging infrastructure.
- Circumvent resource, billing, subscription, rate or network restrictions.
- Use stolen credentials, payment methods or compromised accounts.
- Host content that violates applicable law or infringes intellectual-property, privacy or other rights.
- Use the Service to facilitate fraud, scams, identity theft or financial crime.
- Interfere with the availability, integrity or security of Velocity or third-party systems.
- Attempt to obtain unauthorized access to infrastructure credentials, secrets, APIs or internal systems.
We may investigate suspected violations and take proportionate action, including limiting, suspending or terminating accounts and resources.
13. Security and Credentials
You are responsible for securing credentials, SSH keys, API tokens, environment variables, application secrets and other sensitive information placed inside your workspaces.
Do not expose production secrets, payment credentials or other highly sensitive credentials inside publicly accessible workspaces or logs.
If you discover or reasonably suspect a security vulnerability involving Velocity, please report it to support@fairarena.raiseaticket.com.
14. Third-Party Services
Velocity may integrate with or depend on third-party services, including authentication providers, payment processors, cloud infrastructure, compute providers, networking providers, databases, email providers, webhook providers, source-control providers and other technology vendors.
Your use of third-party services may be subject to the third-party provider's own terms and policies.
We are not responsible for outages, failures, pricing changes, policy changes, security incidents or other events caused solely by a third-party service provider, except to the extent required by applicable law.
15. APIs, Webhooks and Integrations
Certain plans may provide access to Velocity APIs and webhooks. API keys and webhook credentials must be treated as confidential credentials.
You are responsible for activity performed using your API keys. You must not share keys publicly, commit them to public repositories, or use them to circumvent account restrictions.
Webhook delivery depends on the availability of both Velocity and the destination endpoint. Delivery may be retried and may occur more than once. Your receiving system should therefore implement idempotent event handling.
Velocity may impose API rate limits, webhook limits and other technical restrictions.
16. Intellectual Property
Velocity and its licensors own all rights, title and interest in the Velocity software, website, user interface, trademarks, branding, documentation, infrastructure components and other materials provided by Velocity, excluding User Content and third-party materials.
Subject to these Terms and your applicable subscription, we grant you a limited, non-exclusive, non-transferable and revocable right to use the Services.
You may not copy, modify, reverse engineer, decompile, redistribute, sublicense, resell or create derivative works of the Velocity Services except where expressly permitted by law or by written authorization from us.
17. Service Availability and Changes
Velocity is provided on an evolving basis. We may modify, improve, replace, suspend or discontinue features, resource types, regions, integrations or other aspects of the Services.
We do not guarantee uninterrupted or error-free availability. Services may be affected by maintenance, infrastructure failures, network failures, third-party outages, capacity constraints, security events and circumstances outside our reasonable control.
We may perform planned or emergency maintenance where reasonably necessary to operate or secure the Services.
18. Data Retention and Deletion
Workspace persistence depends on the lifecycle configuration selected by you and the capabilities of the underlying infrastructure.
You are responsible for selecting appropriate retention, auto-stop, archive and deletion settings and for maintaining independent backups of important data.
When a workspace is permanently deleted, its files and state may become irrecoverable. We are not obligated to restore deleted data unless expressly required by law or an applicable service agreement.
Automated Retention & Audit Log Lifecycle
To maintain system performance, storage hygiene and database security, Velocity enforces automated data retention lifecycles across standard developer accounts:
- User Notifications: System, billing, budget and activity notifications older than 15 days are automatically and permanently purged.
- Activity & Audit Logs: Sandbox event execution records, metric snapshots, startup logs and activity logs older than 90 days are automatically and permanently purged.
- Enterprise Contracts: Customized data retention schedules, extended log archiving, dedicated compliance retention and long-term audit storage are available exclusively under negotiated Enterprise agreements.
We may retain limited account, billing, legal, and transaction summary information for as long as reasonably necessary for legitimate business purposes, legal obligations, dispute resolution, fraud prevention and regulatory compliance.
19. Privacy
Our collection and processing of personal data is described in our separate Privacy Policy.
The Privacy Policy forms part of the contractual framework governing your use of the Services and describes applicable processing, purposes, categories of data, third-party providers, retention practices and available rights and choices.
Where applicable, personal-data processing will be carried out in accordance with applicable Indian data-protection law and other laws applicable to the relevant processing activity.
20. Taxes and Payment Processing
Prices may be exclusive or inclusive of applicable taxes as expressly indicated at checkout or on the applicable pricing page.
You are responsible for taxes applicable to your purchases or use of the Services except taxes imposed on our net income where applicable.
Payments may be processed by third-party payment providers such as Razorpay. We do not receive or store your complete payment card credentials when the payment provider handles the transaction.
Payment-provider terms, authentication requirements and transaction policies may also apply.
21. Refunds and Cancellations
Refund eligibility depends on the nature of the purchase, whether the service or compute resources have already been consumed, applicable promotional terms, our Refund Policy and applicable law.
Because compute resources may be consumed immediately and cannot always be returned, consumed compute usage is generally not refundable except where required by law or where we expressly approve a refund.
If a refund is approved, it may be processed through the original payment method or another legally permissible method. Processing times may depend on the payment provider and banking system.
We do not waive any mandatory consumer rights merely by stating that a transaction is non-refundable.

22. Suspension and Termination
We may suspend or terminate your access where reasonably necessary to:
- Prevent fraud, abuse or security threats.
- Enforce these Terms or our Acceptable Use Policy.
- Protect other users or our infrastructure.
- Respond to legal requirements or lawful requests.
- Address unpaid balances or payment failures.
- Prevent significant financial or operational harm.
Where reasonably practicable, we may provide notice and an opportunity to resolve the issue before termination. Immediate action may be taken where delay could create security, legal, financial or operational risk.
Termination does not eliminate obligations that accrued before termination, including payment obligations.
23. Disclaimers
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:
The Services are provided on an "as available" and "as is" basis, except to the extent that applicable law requires otherwise.
We do not guarantee that the Services will be uninterrupted, completely secure, error-free, continuously available, or suitable for every particular workload.
We do not guarantee the performance, availability or continued existence of any particular third-party hardware, GPU model, cloud region, network route, package registry, external API or other third-party service.
You are responsible for evaluating whether the Services are appropriate for your workload and for maintaining appropriate backups and security controls.
24. Limitation of Liability
To the maximum extent permitted by applicable law, Velocity and its directors, officers, employees, contractors and licensors will not be liable for indirect, incidental, special, consequential, exemplary or punitive damages, including loss of profits, revenue, business opportunities, goodwill or data, arising from or related to the Services.
To the maximum extent permitted by applicable law, our aggregate liability arising out of or relating to the Services will not exceed the greater of:
- the amount you paid to Velocity for the Services giving rise to the claim during the three months immediately preceding the event giving rise to the claim; or
- INR [LIABILITY FLOOR] where required to give effect to a valid claim under applicable law.
Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited under applicable law.
25. Indemnification
To the extent permitted by applicable law, you agree to defend, indemnify and hold harmless Velocity and its directors, officers, employees and service providers from claims, losses, liabilities, damages, costs and reasonable expenses arising from:
- your violation of these Terms;
- your User Content;
- your unlawful or unauthorized use of the Services;
- your violation of another person's rights; or
- your misuse of compute resources, APIs, credentials or integrations.
This section does not require indemnification for losses caused by our own proven misconduct to the extent such indemnification would be prohibited by applicable law.
26. Governing Law and Dispute Resolution
These Terms are governed by the laws of India, without regard to conflict-of-law principles, subject to any mandatory consumer protections or other mandatory laws that apply to you.

Subject to applicable law and any mandatory jurisdiction available to a consumer, courts located in [CITY, STATE, INDIA] shall have jurisdiction over disputes arising from these Terms.

28. Changes to These Terms
We may update these Terms from time to time to reflect changes to the Services, legal requirements, security practices or business operations.
The updated version will be posted on this page with a revised "Last Updated" date. Where required by law, we will provide additional notice.
Your continued use of the Services after the effective date of revised Terms constitutes acceptance of the updated Terms to the extent permitted by law.
29. General Provisions
If any provision of these Terms is found invalid or unenforceable, the remaining provisions will remain in effect to the extent permitted by law.
Our failure to enforce a provision does not constitute a waiver of our right to enforce that provision later.
You may not assign or transfer your rights or obligations under these Terms without our prior written consent, except where such restriction is prohibited by applicable law.
We may assign these Terms in connection with a merger, acquisition, restructuring, financing, sale of assets or similar corporate transaction.
These Terms, together with the Privacy Policy, Refund Policy, Acceptable Use Policy and other policies expressly incorporated by reference, constitute the agreement governing your use of the Services.
